By visiting our website, submitting a form, booking a call, or engaging our Services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business, and "you" refers to both you and that business.

1. Acceptance of Terms

By accessing our website or engaging our Services in any way, you confirm that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and any separate service agreement, statement of work, or order form signed between you and First Response AI (a "Service Agreement"). Where a Service Agreement conflicts with these Terms, the Service Agreement controls.

2. Description of Services

First Response AI provides marketing and automation services designed for restoration businesses, which may include AI voice agents, AI chat agents, AI-driven lead qualification and follow-up ("AI SDR"), landing pages, paid advertising management, pre-estimate video tools, and database reactivation campaigns. The specific scope of Services provided to you will be described in your Service Agreement.

3. Eligibility & Client Responsibilities

Our Services are intended for restoration businesses and other home-service businesses operating lawfully in their market. As a client, you agree to:

• Provide accurate, current, and complete information about your business, service area, and licensing;
• Maintain any licenses, insurance, and certifications required to legally perform restoration work in your jurisdiction;
• Respond to and follow up with leads generated by our Services in a timely manner;
• Comply with all applicable laws in your own advertising, sales, and business practices, including insurance and consumer protection regulations; and
• Not use our Services for any unlawful, deceptive, or misleading purpose.

4. Exclusive Territory

Where stated in your Service Agreement, First Response AI will designate an exclusive service territory for your business and will not knowingly provide substantially similar lead generation services to a direct competitor within that same territory for the duration of your active engagement. Territory boundaries, exclusivity terms, and any exceptions will be defined in your Service Agreement.

5. Fees & Payment

Fees for the Services, billing frequency, and payment terms will be set out in your Service Agreement. Unless otherwise stated, fees are non-refundable once work has begun, and late payments may result in suspension of Services. Any advertising spend passed through to third-party platforms (such as Google or Meta) is separate from our service fees and subject to those platforms' own terms.

6. No Guarantee of Results

While we design our Services to improve lead response times, conversion rates, and booked jobs, marketing and advertising performance depends on many factors outside our control, including market conditions, seasonality, ad platform policies, and how quickly your team follows up with leads. We do not guarantee a specific number of leads, calls, booked estimates, closed jobs, or amount of revenue. Any statistics, testimonials, or case studies referenced on our website or in our marketing materials reflect individual results and are not a promise of similar outcomes for your business.

7. Communications Consent

By providing your phone number or email address to us, you consent to receive calls, text messages, and emails from First Response AI related to our Services, which may be generated or assisted by AI voice or chat technology. You may opt out of text messages at any time by replying STOP, and of marketing emails using the unsubscribe link provided. See our Privacy Policy for more detail on how we handle your information.

8. Intellectual Property

All creative assets, ad copy, landing page designs, AI agent scripts, workflows, and other materials developed by First Response AI in connection with the Services (collectively, "Deliverables") remain the intellectual property of First Response AI unless otherwise agreed in writing in your Service Agreement. Upon full payment, you are granted a non-exclusive, non-transferable license to use the Deliverables in connection with your own business for as long as you remain an active client, unless your Service Agreement states otherwise. Your business name, logo, and brand assets remain your property at all times.

9. Third-Party Services & Links

Our Services rely on and may link to third-party platforms, including advertising networks, CRM/marketing automation software, telephony and AI voice providers, and payment processors. We are not responsible for the availability, content, or practices of these third-party services, and your use of them may be subject to their own separate terms and privacy policies.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or fully secure.

11. Limitation of Liability

To the fullest extent permitted by law, First Response AI and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or business opportunity, arising out of or related to your use of the Services. Our total aggregate liability for any claim arising out of these Terms or the Services will not exceed the amount you paid to us for the Services in the three (3) months preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless First Response AI and its officers, employees, and contractors from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or the rights of a third party, including any claims arising from work you perform for leads generated through our Services.

13. Termination

Either party may terminate the Services in accordance with the notice and termination provisions in your Service Agreement. We reserve the right to suspend or terminate access to the Services immediately if you fail to pay amounts owed, breach these Terms, or use the Services in a manner that we reasonably believe is unlawful or harmful to us or others. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will survive.

14. Governing Law & Disputes
